Ms. Clemente, a Partner in the Firm, is a Regulatory Compliance expert, having a comprehensive experience in corporate compliance, general regulatory compliance, and complex commercial transactions. She obtained her Juris Doctor from the Ateneo de Manila University (“ADMU”) School of Law in 2014 and her Bachelor of Science in Management, Major in Legal Management, Minor in Enterprise Development from ADMU in 2010. In addition, Ms. Clemente attended Audencia School of Management (Nantes, France) in 2008, as part of ADMU’s Junior Term Abroad Exchange Program.
From her admission to the bar in 2015, Ms. Clemente has focused her legal practice on handling taxation and corporate law related matters and has rendered critical advice on matters including but not limited to mergers and acquisitions (“M&As”), antitrust law, general tax advisory, estate planning, tax litigation, structuring, and regulatory compliance. She also has experience in various projects covering international arbitration, acquisition, real property ownership, and financing of target companies engaged in power generation, toll roads, railways, manufacturing, information technology, cement, and various other sectors. Since the enactment of the Philippine Competition Act in 2015, Ms. Clemente has handled compulsory merger notifications for M&As with transaction values ranging from Php2.4 Billion to Php100 Billion, including extensive advisory work on antitrust ramifications of certain modes of doing business.
With her comprehensive Corporate/Commercial Law background, Ms. Clemente is an indispensable member of the Firm’s teams handling the largest projects in Energy and Power Utilities, Mining and Natural Resources, and Manufacturing. She leads in addressing the most complex regulatory issues, including land issues and transaction documentation, and in providing plans to mitigate the risk exposure of clients. For energy projects, she has also drafted a land acquisition strategy for wind and solar power projects, which not only outlines a strategy for each type of land but also identifies risk mitigation measures.
Ms. Clemente also handles Fintech, E-Commerce, and Internet, and other emerging practice areas. She co-leads advisory work to one of the largest e-marketplaces in the world, and online lending platforms using fintech, especially in their compliance with the Internet Transactions Act, among other highly specialized regulations.
Ms. Clemente supervises the massive Corporate Regulatory Compliance Practice of the Firm, serving the compliance needs of over 40 corporations. Her compliance work ranges from SEC compliance, BIR compliance, AMLC Compliance, among other regulatory compliance work. An Anti-Money Laundering Law Expert, she takes the lead in the drafting and updating of Money Laundering and Terrorist Financing Prevention Programs for covered persons and advises on Anti-Money Laundering risks arising from transactions of clients.
Because of her formidable experience in corporate compliance, Ms. Clemente advises the Firm’s Litigation Department in major regulatory investigations and litigation before the Securities and Exchange Commission, Bureau of Internal Revenue, the Anti-Money Laundering Council, and the courts. In 2024, she was instrumental in the termination of regulatory enforcement proceedings against the Firm’s client, which eventually led to the dismissal of administrative and criminal charges against the client’s directors.
Ms. Clemente’s semester abroad has opened her heart to the joys of traveling. Since then, she has kept a map to track her travels. Thus far, she has been in 4 continents and 17 countries, some more than once, wandering in new places, and rediscovering familiar ones. In doing so, she hopes to learn of the world, and more of herself.
